It depends on the wording, not the title. An LOI that records agreed commercial terms and shows an intention to be bound can be enforceable. To keep it non-binding, say so expressly and state that only a signed definitive agreement creates obligations, while carving out confidentiality and exclusivity if you want those to bind.
